1. Acceptance of Terms

By accessing or using AI University ("the Service"), operated by Axon Labs LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

AI University provides online educational courses, community access, AI-powered tools (including chat assistants and prompt libraries), and related digital content about artificial intelligence. Courses are delivered through Whop and our website at apexaiu.com.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately at support@apexaiu.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Purchases, Pricing & Refunds

5.1 Payment Processing

Payments are processed through Whop and/or Stripe. By making a purchase, you agree to their respective terms of service. All prices are in US dollars unless stated otherwise.

5.2 Individual Courses

Individual course purchases grant lifetime access to the purchased course content. "Lifetime" means for as long as AI University continues to operate the Service.

5.3 All-Access Membership

All-Access subscriptions are billed monthly ($97/month) or annually ($799/year). You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are given for unused portions of a billing period.

5.4 7-Day Money-Back Guarantee

All purchases come with a 7-day money-back guarantee. If you are not satisfied within 7 days of purchase, email support@apexaiu.com for a full refund. After 7 days, purchases are non-refundable. Refunds are processed within 5-10 business days.

6. Intellectual Property

All course content, videos, written materials, templates, prompt libraries, software, and branding are the intellectual property of Axon Labs LLC, protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or resell any content without our prior written consent.

You retain ownership of any original content you create using techniques learned in our courses. Any projects, code, or materials you build are yours.

7. Acceptable Use

You agree not to:

• Share, redistribute, or resell course content or login credentials
• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Harass, abuse, or threaten other users in the community
• Upload malicious code or interfere with the Service's operation
• Use automated tools to scrape or download course content

8. Community Guidelines

Community members must be respectful, constructive, and professional. Sharing course content outside the community, spam, harassment, discrimination, and illegal activity are prohibited. Violations may result in immediate account termination without refund.

9. AI-Powered Features

Our Service includes AI-powered features (chat assistants, content generation tools). AI outputs are provided for informational and educational purposes only. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You are responsible for reviewing and verifying any AI output before relying on it.

10. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee specific outcomes, earnings, or results from using our courses. To the maximum extent permitted by law, Axon Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Axon Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 6, 10, 11, and 14 survive termination.

13. Modifications

We may update these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class-action lawsuits or class-wide arbitration.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
